These terms govern your access to the PulseROI website and any consulting services described herein. By engaging with us you agree to the conditions below.

Services

PulseROI provides consulting for custom reporting, AI integrations, and website builds. Each project is governed by an individual statement of work (SOW) that defines deliverables, timeline, and pricing. In the event of a conflict between these terms and an executed SOW, the SOW prevails.

Client Responsibilities

  • Designate a primary contact who can make timely decisions
  • Provide accurate information, credentials, and timely feedback
  • Ensure any third-party data shared with PulseROI is authorized for use

Fees and Payment

Invoices follow the cadence defined in the SOW. Payments are due within 15 days unless otherwise stated. Late payments may pause active work until the account is current.

Intellectual Property

PulseROI retains ownership of internal tools and frameworks used to deliver projects. Clients receive a license to use the deliverables outlined in their SOW once invoices are paid in full. Any third-party software remains subject to its own licensing terms.

Confidentiality

Both parties agree to keep non-public project information confidential and use it only for the purposes of delivering the engagement. PulseROI may reference anonymized outcomes in marketing materials unless the SOW specifies otherwise.

Limitation of Liability

PulseROI is not liable for indirect, incidental, or consequential damages arising from the use of our services. In no event will our aggregate liability exceed the fees paid to PulseROI for the engagement giving rise to the claim.

Warranties

PulseROI provides services on an “as-is” basis but warrants that work will be performed in a professional manner consistent with industry standards. Clients are responsible for testing deliverables within their production environments.

Termination

Either party may terminate an engagement with written notice if the other party materially breaches these terms and fails to cure the breach within 10 days. Clients remain responsible for fees incurred up to the termination date.

Governing Law

These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.
